TERMS AND CONDITIONS — EARN ON STABLECOINS
Effective date: October 16, 2026
1. INTRODUCTION AND SCOPE
1.1. Roxom Markets S.A. de C.V. is a company incorporated and registered in the Republic of El Salvador, recorded in the Commercial Register under number 196 of book 4894, with Taxpayer Identification Number (NIT) 0623-210524-104-6, and with domicile at Cuscatlán 4312, Colonia Escalón, San Salvador, San Salvador Centro, San Salvador, El Salvador.
1.2. These Terms and Conditions (the “T&C”) govern access to and use of the Earn on stablecoins product (the “Product” or the “Service”), offered by Roxom Markets S.A. de C.V. (hereinafter, the “Company”, “Roxom”, the “Platform”, “we” or “our”), to users who meet the eligibility requirements set out in these T&C (the “User” or “you”).
1.3. The Company is duly authorised to operate as a Digital Asset Service Provider (PSAD), and provides the Service within the framework of the activities set out in article 19, letter f), numerals 1 and 2, of the Digital Assets Issuance Law of the Republic of El Salvador, which comprise, when carried out in the name of and for the benefit of third parties, transferring digital assets or the means of accessing or controlling them between electronic wallets or digital asset accounts, and safeguarding, holding in custody or administering digital assets or the means of accessing or controlling them.
1.4. In the event of any conflict, contradiction or inconsistency between these T&C and Roxom’s General Terms and Conditions (the “General Terms”), these T&C shall prevail exclusively in respect of the Product.
1.5. Access to, activation or use of the Product implies that the User declares that it has read, understood and accepted these T&C in their entirety, as well as any policy, notice or supplementary document that the Company publishes in relation to the Product, including the Risk Notice. If the User does not agree with any of the terms set out herein, the User shall refrain from using the Service.
1.6. These T&C are published in Spanish and in English. In the event of divergence between the two versions, the Spanish version shall prevail.
2. NATURE OF THE PRODUCT
2.1. The Product is a service by which the User may elect to allocate stablecoins available in its Funding Wallet to the Protocol enabled on the Platform, in order to receive the Published Rate that the Company reports for the asset concerned.
2.2. The Service is offered exclusively in respect of the stablecoins that the Company enables on the Platform, which as at the date of these T&C are USDT (Tether) and USDC (USD Coin).
2.3. By allocating its stablecoins to the Service, the User agrees with the Company that the Company shall return to it stablecoins of the same kind and quality, and not the specific units it allocated. Consequently, the User does not retain a right of restitution over specific units, particular blockchain addresses or individualised assets, but the right to have the Company return to it the amount recorded in the Company’s records (the Claim), in accordance with clause 6 and article 1100 of the Commercial Code of the Republic of El Salvador.
2.4. The Product does not constitute a deposit, is not a bank account, is not covered by deposit insurance, State guarantee or any protection fund, and does not involve the habitual taking of funds from the public, financial intermediation or lending activity subject to Salvadoran banking legislation.
2.5. The Company does not lend the stablecoins allocated to the Service nor apply them to own-account operations. It administers them as a single pool, for the sole purpose of complying with Users’ orders and executing the Auto-Subscribe in force, in accordance with clause 6.
2.6. Unlike what is provided for other products of the Platform, the Published Rate is not an indicative estimate. It is a figure that the Company reports, which is certain during the Accrual Window it governs, and which the Company pays even if the Protocol has yielded below it, with the sole exceptions set out in clause 8.5. What is not guaranteed is the principal, which follows the outcome of the allocation in accordance with clause 11.
3. DEFINITIONS
For the purposes of these T&C, the terms set out below, when used with an initial capital letter, shall have the meaning assigned to them in this section, whether used in the singular or the plural. Terms not expressly defined in these T&C shall have the meaning attributed to them in the General Terms of the Platform.
Accrual Window: the time window over which the Yield accrues and is credited, which is daily and runs from 00:00 to 00:00 UTC. Accrual Windows are reported to the User through the section identified on the Platform as “Timeline” or an equivalent designation.
Claim: the amount that the Company owes the User in a given asset, according to the Company’s records, resulting from what the User has allocated to the Service, what it has disposed of, the Yield credited and the outcome of the allocation to the Protocol.
Auto-Subscribe: the automatic allocation mechanism by which the User expressly authorises the Company to allocate to the Service the stablecoins available in its Funding Wallet, on a continuous basis and without requiring an additional action per operation, in accordance with clause 9.
Top-Up: the amount that the Company pays out of its own resources so that the User receives the Published Rate, where the Protocol has yielded below it.
Protocol Event: any of the following facts, the occurrence of which is verifiable in the public state of the Protocol or in the allocated position, irrespective of whether the Company communicates it: (i) that the Protocol produces no yield at all during an Accrual Window; (ii) the failure, error or vulnerability of the Protocol’s smart contracts that produces the loss or immobilisation of the allocated position; (iii) the insolvency of the Protocol, the existence of bad debt in it or the impossibility of recovering the position; (iv) the suspension, pause or emergency shutdown ordered by the Protocol itself or by its governance; and (v) the loss-of-peg event of the stablecoin against the United States dollar, in accordance with the conditions, thresholds and determination mechanisms set out in the General Terms. The Company communicates the occurrence and the normalisation of the Protocol Event in accordance with clause 15, and that communication reports the fact and does not constitute it: the Protocol Event is configured by its occurrence and ceases with it, and the User may verify both for itself.
Extraordinary Event: any event beyond the Company’s reasonable control that affects or may affect the provision of the Service, including, without limitation, force majeure events, technical failures, network outages, extreme market volatility, cyberattacks, regulatory changes or decisions of competent authorities.
Fee: the Company’s remuneration for the Service, in accordance with clause 13.
Funding Wallet: the User’s account within the Platform in which the stablecoins participating in this Service and the Yield are credited, and from which the User may activate or deactivate the Service, as well as request redemptions in accordance with these T&C.
Batch: the periodic operation by which the Company allocates to the Protocol the balances covered by the Auto-Subscribe that have accumulated since the previous Batch. The Company reports on the Platform the frequency of the Batch and the time of its execution.
Protocol: the decentralised lending protocol enabled by the Company for the Service, which as at the date of these T&C is Aave v3 on the Ethereum network. The Company may enable, modify or disable protocols in accordance with clause 15.4.
Redemption: a request made by the User to withdraw all or part of its stablecoins from the Service and return them to its Funding Wallet, in accordance with the conditions and limitations set out in these T&C.
Yield: the amount that the Company credits to the User for each Accrual Window, calculated by applying the Published Rate in force to its Claim.
Risk Notice: Roxom’s risk disclosure document, available on the Platform, which forms an integral part of these T&C.
Published Rate: the annual rate that the Company reports on the Platform next to each enabled asset, expressed in annualised terms, net of the Fee, and applicable to the User’s Claim in that asset.
User: a natural or legal person who accesses the Platform, meets the eligibility requirements and uses the Service in accordance with these T&C.
4. USER ELIGIBILITY
4.1. Only those users who: (i) have sufficient legal capacity to contract under applicable law; (ii) have satisfactorily completed the identification, verification and know-your-customer (KYC) processes required by the Company; (iii) maintain their account active and free of restrictions; and (iv) access the Service from jurisdictions in which its provision is not prohibited or restricted by applicable regulation, may access and use the Service.
4.2. The Service is offered exclusively in respect of the stablecoins enabled in accordance with clause 2.2. Consequently, only users holding such stablecoins in their Funding Wallet may activate and use the Service.
4.3. The Company does not market or actively promote the Service in jurisdictions other than the Republic of El Salvador, and may establish access restrictions and limits by jurisdiction, as permitted by article 33 of the Digital Assets Issuance Law. Access to and use of the Service from other jurisdictions is at the User’s own initiative and under its exclusive responsibility.
4.4. Access to and use of the Service are also subject to compliance with the minimum amounts established by the Company, which shall be reported to the User through the Platform. Where the User’s balance falls below the operating minimum, the Product may not generate Yield, without this entailing any liability for the Company.
4.5. The Company reserves the right, at its sole discretion, to: (a) limit, suspend or deny access to the Service to particular users or jurisdictions; (b) establish additional eligibility requirements; or (c) discontinue the availability of the Service for particular users, where this is necessary to comply with legal, regulatory or risk-management obligations or for operational decisions of the Company.
5. ACTIVATION AND OPERATION OF THE SERVICE
5.1. The Service is activated solely at the express request of the User, by means of a specific, voluntary and informed opt-in, made through the Platform, whereby the User expressly accepts these T&C and the particular conditions of the Service, and elects to allocate its balance to the Protocol, instructing the Company to do so in its name and for its benefit. The Company does not allocate any balance without that opt-in being in force.
5.1 bis. The choice of Protocol belongs to the User and not to the Company. The Platform identifies by name, before activation, the Protocol to which the balance will be allocated, and the User instructs the allocation to that specific Protocol. The Company does not select the Protocol on the User’s behalf nor exercise any discretion over the destination of its balance: it merely executes the instruction given, within the exhaustive destinations of clause 6.4.
5.1 ter. The foregoing does not alter the Company’s power to enable or cease to enable protocols on the Platform, which is governed by clause 15.4. A migration to a protocol other than the one chosen does not by itself extend the User’s instruction: the Company notifies it with the notice period of that clause, and the instruction shall be deemed extended to the new protocol only if the User maintains its allocation once the migration has taken effect.
5.2. The Company records each activation with its date, its time and the version of these T&C that the User accepted.
5.3. The Service is flexible in nature, not being subject to a minimum holding period or a fixed lock-up period, without prejudice to the limitations, suspensions or restrictions that may apply under these T&C.
5.4. The User may deactivate the Service at any time and without penalty, from the Platform. From deactivation, the balance shall cease to accrue Yield in the following Accrual Window. Operations confirmed prior to deactivation may not be reversed.
5.5. The Company allocates to the Protocol the entirety of the balance allocated to the Service. Highly exceptionally, and on well-founded grounds of liquidity or operational continuity, the Company may allocate to the Protocol only part of that balance. That circumstance does not alter the Yield that the User receives, which is the Yield resulting from the Published Rate in accordance with clause 8, and the Company pays the difference out of its own resources.
5.6. Allocation to the Protocol is not executed operation by operation but by Batch. Consequently, the balance that the User allocates to the Service on a given day is included in the following Batch, and accrual begins in the Accrual Window following that of the allocation. The Platform reports to the User the date from which its balance accrues.
6. CUSTODY AND RESTITUTION OF THE DIGITAL ASSETS
6.1. The User agrees with the Company that the Company shall return to it stablecoins of the same kind and quality, in accordance with article 1100 of the Commercial Code of the Republic of El Salvador, and not the specific units it allocated.
6.2. In the event of Redemption, withdrawal or termination of its participation in the Service, the User shall be entitled to restitution of the amount recorded in its Claim, in stablecoins of the same kind and quality, in accordance with these T&C.
6.3. The stablecoins allocated to the Service shall not be individually segregated and may be combined or commingled with those of other Users of the Service, being administered as a single pool. The individualisation of each User’s position is by record and not physical.
6.3 bis. That commingling extends solely to the Users’ assets among themselves, and not to the Company’s own assets. The digital assets that the Company holds for its own account — its treasury, its working capital and those allocated to any operation in which the Company is the interested party — are kept separate from the pool and are not confused with it. The sole exception is the Top-Up which, upon being credited, ceases to be an asset of the Company in the same act and becomes part of the User’s Claim, in accordance with clause 8.3.
6.4. The User authorises the Company to administer that pool for the sole purpose of: (i) executing the Auto-Subscribe in force and the allocations to the Protocol resulting from it; (ii) meeting Users’ orders, including exchange, withdrawal and Redemption orders, against the balances available in the vault corresponding to the type of order; and (iii) transferring balances between the Company’s operating vaults in order to replenish the levels necessary for the foregoing purposes.
6.5. The authorisation in clause 6.4 is exhaustive. The Company shall not apply the stablecoins allocated to the Service to own-account operations, meaning by such the support of its working capital, the funding of any of its other books, its treasury or any other operation in which the Company is the interested party.
6.6. The Company shall maintain, at all times and for each asset, an aggregate equal to or greater than the sum of the Users’ recorded Claims. That correspondence is measured across the aggregate of all its vaults, wallets and positions, and not vault by vault.
6.7. The Company retains the means that allow access to and control of the positions in the Protocol, and operates them for the account of the Users in accordance with these T&C.
6.8. The custody and administration of the stablecoins within the framework of the Service are carried out in accordance with article 19, letter f), numerals 1 and 2, of the Digital Assets Issuance Law of the Republic of El Salvador, without the Service constituting the habitual taking of funds from the public, financial intermediation, lending activity or any other activity reserved to entities subject to banking legislation.
7. ACCRUAL AND CREDITING OF THE YIELD
7.1. The Yield accrues by Accrual Window, applying the Published Rate in force in that window to the User’s Claim.
7.2. Yield accrues on the balance included in the Batch in force at the start of the relevant Accrual Window. A balance allocated to the Service after the close of a Batch does not accrue Yield in respect of the current window, and begins to accrue in accordance with clause 5.6.
7.3. A balance that is de-allocated from the Service, by deactivation or by Redemption, before the current Accrual Window ends does not accrue Yield in respect of that window. Yield does not accrue on a pro rata basis for fractions of time shorter than the full duration of the window.
7.4. The Yield is credited daily, in the same asset allocated, to the User’s Funding Wallet, and increases its Claim. Upon being added to the available balance, the credited Yield becomes covered by the Auto-Subscribe in force.
7.5. Accrual is interrupted in the Accrual Window following deactivation of the Service or total Redemption, and during the subsistence of a Protocol Event in accordance with clause 8.5.
7.6. The display of the Yield on the Platform may be subject to rounding rules, precision limits, technical adjustments or calculation methodologies defined by the Company. Consequently, the values shown may differ slightly from exact mathematical calculations, without this giving rise to any right of claim.
8. PUBLISHED RATE
8.1. The Company reports on the Platform a Published Rate for each enabled asset. The Company determines it on the basis of the yield that the Protocol produces, less its Fee, so that the rate displayed reflects the final Yield that the User receives.
8.2. The Published Rate is certain during the Accrual Window it governs. The User receives that figure irrespective of the yield that the Protocol has produced in that window, with the exceptions in clause 8.5.
8.3. If the Protocol yields below the Published Rate, the Company shall pay the Top-Up out of its own resources, so that the User receives the Published Rate in full. The Top-Up is credited in the same manner as the Yield and increases the User’s Claim.
8.4. The Company may modify the Published Rate. The modified rate applies from the Accrual Window following the notice, and in no case from the current window or from any earlier one. An Accrual Window already credited is not modified. The Company shall give prior notice of any modification through the channels the Platform enables, and shall keep a record of the date and time at which each rate was reported.
8.5. The obligation in clause 8.3 does not apply in respect of Accrual Windows affected by a Protocol Event, and therefore does not apply where the Protocol has produced no yield at all in the window concerned. During the subsistence of a Protocol Event, the allocated balance does not accrue Yield, the Company pays no Top-Up, and the outcome of the Event is attributed to the User’s Claim in accordance with clause 11. The Company shall communicate the occurrence and the normalisation of the Protocol Event in accordance with clause 15, without that communication being a condition of its configuration or of its cessation.
8.6. Outside the cases in clause 8.5, a Protocol yield lower than usual, but positive, does not release the Company from the obligation in clause 8.3, whatever the magnitude of the difference.
8.7. The Published Rate is not a variable rate. It does not track an external underlying nor move by itself: it is set by the Company and is modified only if the Company modifies it, with the notice and prospective effect of clause 8.4. An improvement in the Protocol’s yield does not reach the User unless the Company reports a higher rate.
8.8. The Published Rate is expressed in annualised terms solely for comparison purposes, and does not constitute a projection of results or a promise of cumulative return over any period longer than the Accrual Window.
8.9. Any reference to the Published Rate or to similar metrics is descriptive of the operation of the Service and must not be construed as financial advice, an investment recommendation or an offer of a regulated financial product.
9. AUTO-SUBSCRIBE
9.1. The Auto-Subscribe is an automatic activation mechanism by which the User expressly authorises the Company to allocate to the Service the stablecoins available in its Funding Wallet for the corresponding Accrual Windows, in accordance with the operating conditions in force on the Platform.
9.2. Once activated, the Auto-Subscribe covers the entirety of the User’s available balance in the asset concerned and adjusts automatically in line with variations in that balance, without the need for a new instruction. Any movement that reduces the available balance, including withdrawals, conversions or orders within the Platform, reduces the allocated balance automatically. The effective allocation to the Protocol of variations in the balance is executed by Batch, in accordance with clause 5.6.
9.3. The User may deactivate the Auto-Subscribe at any time through the Platform, in accordance with clause 5.4.
9.4. The Company reserves the right, at its sole discretion, to suspend, limit, modify or deactivate the Auto-Subscribe, whether generally or in respect of particular Users, including, without limitation, in the following cases: (i) operational, technical or maintenance reasons; (ii) risk management; (iii) regulatory changes or legal requirements; (iv) extraordinary market conditions or an Extraordinary Event; or (v) breach of these T&C or of the General Terms of the Platform.
9.5. The Protocol may impose its own operating limits or technical conditions. Once such limits are reached, it may not be possible to allocate new amounts until capacity is available, without this entailing any liability for the Company or altering the Published Rate.
10. REDEMPTIONS
10.1. The User shall have the right to request the Redemption of its Claim at any time, on a flexible basis, through the Platform, in accordance with the operating conditions in force at the time of the request.
10.2. The Redemption requested shall entail the de-allocation of the Claim from the Service and its restitution to the User’s Funding Wallet, in stablecoins of the same kind and quality.
10.3. Redemption is met against the Company’s available balances and does not require the prior unwinding of the position in the Protocol, so that in normal conditions it is immediate.
10.4. Without prejudice to the foregoing, redemptions may be affected or delayed in cases including, without limitation: an unusual volume of simultaneous redemption requests concurrent with reduced liquidity of the Protocol, high market volatility, network congestion, technical failures, extreme market events, security incidents, a Protocol Event, an Extraordinary Event or regulatory requirements.
10.5. A Redemption requested before the current Accrual Window ends does not accrue Yield in respect of that window, in accordance with clause 7.3. The Yield for earlier complete windows that is pending crediting is credited.
11. RISKS
11.1. The User acknowledges and accepts that participation in the Service involves the assumption of significant risks, and that the Service is not risk-free. The User understands that the principal is not guaranteed and that it may lose part or all of the stablecoins allocated to the Service.
11.2. The risks associated with the Service are described in detail in Roxom’s Risk Notice, which is available on the Platform and forms an integral part of these T&C. The User declares that it has read, understood and expressly accepted that Risk Notice prior to activation and use of the Service.
11.3. Without prejudice to the foregoing, the User acknowledges and accepts that, among others, the Service may be affected by risks including, without limitation: (i) the failure of the Protocol’s smart contracts, including vulnerabilities not detected by previous audits; (ii) the total or partial loss of the stablecoin’s peg against the United States dollar, which is a characteristic of the asset defined by its issuer, beyond the Company’s control and not guaranteed by it; (iii) the insolvency of the Protocol, the existence of bad debt in it or the impossibility of recovering the allocated position; (iv) the lack of liquidity in the Protocol; (v) operational, technological or infrastructure risks, including those of the Platform itself; (vi) Extraordinary Events, security incidents, cyberattacks or regulatory decisions; (vii) restrictions, suspensions or operational delays in accordance with clause 10.4; and (viii) extreme scenarios that could result in the partial or total loss of the stablecoins allocated to the Service.
11.4. The outcome of the allocation to the Protocol belongs to the User. If the Protocol produces a loss, the User’s Claim shall be reduced to the extent applicable in accordance with clause 11.6, and the Published Rate shall be paid on the remaining Claim. The Company does not guarantee the preservation of principal.
11.5. During the subsistence of a Protocol Event, the allocated balance does not accrue Yield and the Company pays no Top-Up, in accordance with clause 8.5. In particular, if the Protocol produces no yield at all during an Accrual Window, the User shall not receive Yield for that window and the Company shall not be obliged to make up the Published Rate.
11.6. Any loss produced by the Protocol is allocated across the entirety of the balances allocated to the Service in the asset concerned, irrespective of the proportion that the Company has actually allocated to the Protocol under clause 5.5, and whatever is recovered is distributed among the affected Users in proportion to their respective Claims. No User has preference over another, or a right to have its position identified as allocated or not allocated, since it is a single pool in accordance with clause 6.3.
11.7. The Protocol that the User chooses in accordance with clause 5.1 bis is a system of smart contracts developed, operated and governed by third parties. The User acknowledges and accepts that use of the Service implies acceptance of that Protocol’s terms of use, available on its site, and that any risk or consequence arising from its operation is governed by those terms and is attributed to the User’s Claim in accordance with clause 11.6.
11.8. The Service does not constitute a bank deposit, bank account, traditional financial instrument or product covered by insurance schemes, State guarantee, deposit protection fund or other similar protection mechanisms, whether in the Republic of El Salvador or in any other jurisdiction.
11.9. The User acknowledges that the Risk Notice is not exhaustive and that there may be additional risks, known or unknown, that have not been expressly identified.
12. USER REPRESENTATIONS AND ACKNOWLEDGEMENTS
12.1. The User represents and acknowledges that it has read and understood in their entirety these T&C, Roxom’s Risk Notice and the information available on the Platform relating to the Service.
12.2. The User represents and acknowledges that, upon activating the Service: (i) it authorises the Company to allocate its balance to the Protocol, which is a third-party protocol that the Company neither operates nor controls; (ii) it agrees that the Company shall return to it stablecoins of the same kind and quality, and not the specific units it allocated; (iii) it may lose part or all of the stablecoins allocated to the Service; (iv) the Published Rate is set by the Company and may be modified with effect from the Accrual Window following the notice; and (v) during a Protocol Event, including the case of nil yield, no Yield accrues and no Top-Up is paid.
12.3. The User acknowledges that it acts for its own account, under its exclusive judgement and responsibility, that the funds allocated to the Service are of lawful origin, and that use of the Service does not constitute financial, legal, tax or investment advice by the Company.
12.4. The User represents that it understands the nature of the Service, its operation and its risks, and that it considers it suitable to its profile, financial situation and risk tolerance.
13. FEES AND COSTS
13.1. The Company receives, as remuneration for the Service, the difference between the yield that the Protocol produces and the Published Rate that it pays to the User.
13.2. The Fee is embedded in the Published Rate, so that the rate displayed on the Platform reflects the final Yield that the User receives and no additional deduction is applied to it.
13.3. Where the Protocol’s yield is lower than the Published Rate, there is no Fee, and the Company pays the Top-Up in accordance with clause 8.3.
13.4. The Fee is calculated on the yield produced and never on the User’s Claim. The Company receives no remuneration for the mere holding of the balances.
13.5. Allocation to the Service and Redemption do not give rise to any charge in favour of the Company, without prejudice to the network fees applicable to deposit and withdrawal operations, in accordance with the General Terms.
13.6. The Company reserves the right to modify the Fee structure, in which case the modification is reflected in the Published Rate and applies in accordance with clause 8.4.
14. REPORTING AND RECORDS
14.1. The User may access, through the Platform, the information relating to its participation in the Service, including the status of its Claim by asset and the detail of the Yield credited by Accrual Window.
14.2. The Company keeps an electronic record of each operation of the Service, which allows each User’s Claim to be reconstructed as at any past date, and in which no entry is modified retroactively without leaving a trace.
14.3. The Company reconciles, with the frequency it defines, the aggregate of its balances against the sum of the recorded Claims, and records the result of each reconciliation.
14.4. The User shall review on a regular basis the information and records available on the Platform. If it detects errors, inconsistencies or unrecognised operations, it shall notify the Company within a maximum period of forty-eight (48) hours from the time the relevant information was made available to it.
14.5. The Company reserves the right to correct credits and material, technical or manifest errors in the records, calculations or reports. The correction of a material error does not constitute a modification of the Published Rate for the purposes of clause 8.4.
15. SUSPENSION, TERMINATION AND EXCEPTIONAL MEASURES
15.1. The Company reserves the right to adopt exceptional measures in respect of the operation of the Service, including temporarily suspending the computation or crediting of the Yield, restricting or deactivating the Auto-Subscribe, and ordering the early de-allocation of the allocated balances from the Protocol.
15.1 bis. The Company carries out continuous monitoring of the Protocol, covering its operating status, its level of utilisation, the liquidity available in it and the vulnerabilities and incidents reported in respect of it. Faced with a relevant risk that is known to it or that ought to be known to it, the Company assesses whether any of the measures in clause 15.1 should be adopted. The monitoring and that assessment are owed; the choice of the specific measure, and the decision not to adopt any, are at the Company’s discretion in accordance with clause 15.2 and do not in themselves give rise to any right of claim.
15.2. These measures may be adopted where operational, technical, regulatory, information-security or Protocol-integrity risks are detected, where an Extraordinary Event occurs, or in the face of any other contingency that could reasonably place Users’ allocated balances at risk. Where, for reasons of urgency, it is not possible to obtain the User’s agreement in due time, the Company shall communicate the measure adopted through the Platform as soon as circumstances allow.
15.3. Upon the occurrence of a Protocol Event, the Company may de-allocate the allocated balances from the Protocol in order to protect Users’ balances. During the subsistence of the Protocol Event, the de-allocated balance does not accrue Yield. Once the Event has been normalised, the balance shall be allocated again to the Protocol in accordance with the Auto-Subscribe in force, without the need for a new instruction, and accrual shall resume. The User gives its express, prior and informed consent to the de-allocation and the subsequent automatic reincorporation.
15.4. The Company may migrate the operation of the Service to a protocol other than the one enabled, adapt it to a new version of the Protocol, or migrate the allocated balances to a different vault within the same Protocol. In such cases it shall notify the User through the Platform with a minimum of forty-eight (48) hours’ notice before the change takes effect. During the migration process the crediting of the Yield may be temporarily interrupted. In the event of disagreement, the User may deactivate the Service in accordance with clause 5.4, before the change takes effect and without penalty. Maintaining the allocation once the migration has taken effect means extending to the new protocol the instruction in clause 5.1 bis.
15.5. The Company may suspend, limit or terminate, in whole or in part, the User’s access to the Service, as well as discontinue the Service generally, where this is necessary for legal, regulatory, operational, technical or risk-management reasons, and may order forced redemptions, total or partial, returning the Claims to the User’s Funding Wallet.
15.6. Suspension, termination, forced redemption and exceptional measures do not affect the Company’s obligation to return the User’s Claim, nor the Yield accrued up to the Accrual Window in which the measure is adopted.
15.7. Save as provided in clause 15.6, the measures set out in this article shall not give rise to any right to compensation, indemnity or redress in favour of the User for any losses, costs, yields not received, loss of profit or opportunities forgone, to the extent permitted by applicable regulation.
15.8. The User acknowledges and accepts that the powers set out in this article are essential for risk management, regulatory compliance and the operation of the Service.
16. TAX TREATMENT OF DIGITAL ASSETS
16.1. Activities linked to the Service shall be subject, where applicable, to the tax regulation applicable to digital assets in the Republic of El Salvador.
16.2. The determination and fulfilment of any tax obligations that may correspond to the User are its exclusive responsibility. The Company does not provide tax advice.
17. AMENDMENTS TO THE T&C
17.1. The Company reserves the right to modify, update or replace these T&C in whole or in part at any time, where this is necessary for legal, regulatory, operational or risk-management reasons or because of changes in the operation of the Service, including the enabling or withdrawal of assets.
17.2. Any amendment to the T&C shall be notified to the User through the Platform, including, without limitation, by means of in-app or website notices.
17.3. Amendments shall take effect from the date indicated in the relevant notification, which may not be earlier than the date of its communication. Continued use of the Service after the amendments take effect shall imply the User’s full acceptance of the amended T&C.
17.4. Amendment of these T&C does not alter the regime in clause 8.4: an Accrual Window already credited is not modified in any case.
17.5. If the User does not agree with the amendments introduced, it shall cease using the Service and request the Redemption of its Claim in accordance with clause 10.
18. LIABILITY AND LIMITATION
18.1. The Company is liable for the restitution of the User’s Claim and for the payment of the Published Rate, in accordance with these T&C.
18.2. To the maximum extent permitted by applicable regulation, the Company shall not be liable to the User for indirect, incidental, special, punitive or consequential damages, including, without limitation, loss of profit, loss of earnings, loss of opportunities, business interruption or reputational harm.
18.3. The Company shall not be liable for losses arising from the performance of the Protocol, from the decisions of its developers or of its governance, from market events, from the loss of the stablecoin’s peg, or from Extraordinary Events.
18.4. The Service may be temporarily unavailable due to maintenance work, technical failures, network outages, blockchain congestion or causes beyond the Company’s reasonable control.
18.5. Any quantitative liability cap set out in the General Terms or in the particular terms of other products of the Platform does not apply to the obligations in clause 18.1, which the Company assumes without limitation of amount.
18.6. No provision of these T&C shall limit or exclude the Company’s liability for wilful misconduct or gross negligence, or in cases where such limitation or exclusion is not permitted by applicable regulation.
18.7. The Company does not operate, does not control and cannot modify the Protocol, which is a system of smart contracts developed and governed by third parties and chosen by the User in accordance with clause 5.1 bis. Consequently, the Company is not liable for the failure, error or vulnerability of the Protocol’s smart contracts, for their exploitation by third parties, for its insolvency or for bad debt in it, for the suspension or emergency shutdown ordered by its governance, or for the total or partial loss of the allocated balances resulting from any of those causes. That risk is assumed by the User, and its outcome is attributed to its Claim in accordance with clause 11.6.
18.8. Clause 18.7 covers the facts of the Protocol and not the Company’s own acts. The Company is liable for its diligence in enabling the Protocol on the Platform and in the monitoring and assessment of clause 15.1 bis, which are the instrument through which that diligence is fulfilled. The choice of the specific measure retains the discretionary character that clause assigns to it. Nor does it cover the obligation to return the remaining Claim, which subsists in accordance with clauses 6.2 and 15.6, or the provisions of clause 18.6.
19. GOVERNING LAW AND DISPUTE RESOLUTION
19.1. Any claim, controversy or dispute arising out of or in connection with these T&C or the Service shall be governed and resolved in accordance with Roxom’s General Terms and Conditions, which govern the applicable law, the competent jurisdiction and the dispute resolution mechanism, including, where applicable, mandatory arbitration and the corresponding waivers.
19.2. The User declares that it has read, understood and accepted Roxom’s General Terms and Conditions, which form an integral part of the contractual framework applicable to the Service.

1. INTRODUCCIÓN Y ALCANCE
Last modified on October 16, 2026
