Effective Date: February 25, 2026 The program called “Inner Circle” (hereinafter, the “Program”) is organized by Roxom Markets S.A. de C.V., a company incorporated under the laws of the Republic of El Salvador, with registered office at Cuscatlán 4312, Colonia Escalón, San Salvador, San Salvador Centro, San Salvador, El Salvador, CP 1101 (hereinafter, the “Company” or the “Organizer”). The Program is subject to these Terms & Conditions (the “T&C”), as well as the general Terms & Conditions of the Platform, available athttps://docs.roxom.com .

1. Object

The Inner Circle Program is a limited, invitation-only referral initiative made available exclusively to eligible members of the official Roxom Telegram VIP group. Under this Program:

• An eligible Telegram VIP Referrer may invite up to three (3) new users through their unique referral code;
• Referred users must register, complete KYC verification, and deposit BTC during the designated Eligibility Window;
• On the Snapshot Date, the Company calculates each referred user’s Net Eligible Deposit (NED);
• A conditional BTC cashback is credited based on such NED and remains frozen for a twelve (12) month maintenance period, subject to proportional recalculation.

The Program operates on a cohort basis determined by the Announcement Date and is not open to the general public. Participation in the Program does not guarantee any reward and is strictly subject to full compliance with these Terms & Conditions.

2. Definitions

1. Net Eligible Deposit (NED): The total amount of external BTC deposits made by a participant during the Eligibility Window, minus any external BTC withdrawals made during the same period. NED = External BTC Deposits – External BTC Withdrawals (during the Eligibility Window). Only deposits originating from outside the Roxom platform during the Eligibility Window qualify. Internal transfers, trading P&L, rewards from Grow (BTC Earn), and any other internal balance adjustments do not count toward NED.
2. Announcement Date: The date on which the Company formally announces the Inner Circle Program within the official Roxom Telegram VIP group.
3. Eligibility Window: The thirty (30) calendar day period commencing on the Announcement Date.
4. Snapshot Date: The thirtieth (30th) day following the Announcement Date, at 00:00 UTC, on which the Company calculates each referred user’s Net Eligible Deposit (NED).
5. Minimum NED: The lowest BTC balance recorded in the participant’s account at any time during the twelve (12) months following the Snapshot Date, for purposes of proportional recalculation of Cashback.
6. Frozen Cashback: The conditional BTC reward calculated under this Program and subject to a 12-month freeze and proportional recalculation.
7. Telegram VIP Referrer: An existing member of the official Roxom Telegram VIP group who was an active member at the Announcement Date
8. Referred User: A new user who registers exclusively through the VIP’s valid referral code during the Eligibility Window, completes KYC verification, and makes qualifying BTC deposits in accordance with these T&C.

3. Roles and Rewards

​

3.1 Referrer (VIP)

An existing VIP member designated by the Company may refer up to three (3) new users. Only the first three (3) Referred Users who validly register using the VIP’s referral code and complete all Program requirements during the Eligibility Window shall be eligible for rewards under this Program. Any additional referrals beyond the first three (3) shall not generate any reward. In addition, the Telegram VIP Referrer shall be eligible to receive a reward equal to 2% of their own Net Eligible Deposit (NED), calculated during the Eligibility Window. VIP Referral Reward: 0.5% of each eligible referred user’s NED.
VIP Own Reward: 2% of the VIP’s own NED. All rewards are credited in BTC on the Snapshot Date, remain frozen for twelve (12) months, and are subject to proportional recalculation based on the applicable Minimum NED. For the avoidance of doubt, BTC balances held prior to the Announcement Date shall not be included in the calculation of the VIP’s NED.

3.2 Referred User

A new user who registers via a valid referral link and completes KYC verification.       Reward:  2% of their own NED, credited in BTC and frozen for twelve (12) months. The final amount unlocked is subject to proportional recalculation based on their Minimum NED.

3.3 VIP Eligibility Limitation

Only individuals who were active members of the official Roxom Telegram VIP group at the exact time of the Announcement Date shall be eligible to participate as Telegram VIP Referrers. Individuals who join the Telegram VIP group after the Announcement Date shall not be eligible to participate in this Program. The Company retains sole discretion to determine eligibility and membership status.

3.4 Ineligible Participants

Employees, directors, officers, contractors, service providers, or advisors of Roxom Markets S.A. de C.V.,or any affiliated entity of the Roxom group are not eligible to participate in this Program, whether as Telegram VIP Referrers or as Referred Users. The Company reserves the right to verify eligibility and to disqualify any participant who does not meet these requirements, including voiding any related Cashback.

4. Participation Mechanics

​

Phase 1 – Eligibility Window (Days 0–30 from Announcement Date)

During the Eligibility Window: a) The Telegram VIP Referrer must provide their unique referral code or referral link to prospective referred users (only 3 referred users). b) The referred user must:

• Register exclusively using the VIP’s valid referral code;
• Complete KYC verification; and
• Deposit BTC into their Funding Account.

Only external BTC deposits made during the Eligibility Window shall count toward NED. Failure to complete registration, KYC, or deposit within the Eligibility Window shall render the referral ineligible.

Phase 2 – Snapshot and Cashback Credit

On the Snapshot Date: a) The Company calculates the NED of each eligible referred user. b) Frozen Cashback is calculated as:

• 2% of NED for the referred user;
• 0.5% of NED for the corresponding Telegram VIP Referrer.

c) Frozen Cashback is credited in BTC and remains frozen for twelve (12) months and;

• Cannot be withdrawn;
• Cannot be traded;
• Cannot be transferred;
• Cannot be used within Grow or any other product.

The user’s deposited BTC remains fully available and is not locked.

5. 12-Month Maintenance Period

During the twelve (12) months following the Snapshot Date: The participant may freely trade, activate Grow, or withdraw BTC (excluding Frozen Cashback). The Company monitors whether the participant’s BTC balance falls below the NED recorded at the Snapshot Date. Any external withdrawal that reduces the participant’s BTC balance below the Snapshot NED will reduce the recorded Minimum NED. Subsequent re-deposits do not increase the recorded Minimum NED.

6. Proportional Recalculation (Clawback Mechanism)

At the end of the twelve (12) months, the Cashback will be recalculated as follows: Final Cashback = (Minimum NED / NED at Snapshot) × Original Cashback Scenarios:

• If NED was maintained at 100% → full Cashback is unlocked.
• If NED dropped partially → proportional Cashback is unlocked.
• If NED reached zero → no Cashback is unlocked.

This proportional recalculation applies equally to:

• The referred user’s 2% Cashback; 
• The VIP referrer’s 0.5% Cashback; and
• The own VIP’s 2% Cashback

7. Cashback Cap

The Cashback calculation applies to a maximum of 1.5 BTC of NED per referred user. If a user deposits more than 1.5 BTC:

• Excess BTC remains fully usable on the platform;
• However, Cashback is calculated only on 1.5 BTC.

The cap applies per referred user, not per referrer.

8. Interaction with Other Products

• Participation in Grow (BTC Earn) or trading activities does not affect NED.
• Trading profits or losses do not modify NED.
• Only external withdrawals affect NED.

9. Anti-Abuse and Fair Use

The Company reserves the right, at its sole discretion, to:

• Disqualify any participant engaging in abusive, manipulative, or fraudulent behavior;
• Void Cashback if activity is deemed artificial, coordinated, or intended to circumvent the Program’s purpose;
• Request additional information or documentation.

Self-referrals, circular funding, or coordinated schemes are strictly prohibited.

10. Modification or Termination

The Company reserves the right to:

• Modify these T&C;
• Suspend or terminate the Program;
• Limit eligibility;

at any time, provided that accrued and valid rights up to the Snapshot Date will be respected in accordance with these T&C.

11. Risk Disclosure

Bitcoin is a volatile digital asset. Participation in this Program does not constitute investment advice or a guaranteed return. Cashback is conditional, non-guaranteed until unlocked, and subject to full compliance with these T&C.

12. Governing Law

Any claim, controversy or dispute arising out of or in connection with these Terms & Conditions or the Inner Circle Program shall be governed by and resolved in accordance with the provisions of Roxom’s General Terms and Conditions, which regulate the applicable law, the competent jurisdiction and/or the dispute resolution mechanism, including, where applicable, mandatory arbitration and the corresponding waivers. The User declares that they have read, understood and accepted Roxom’s General Terms and Conditions, which form an integral and binding part of the contractual framework applicable to the Inner Circle Program.

Términos y Condiciones – Programa Inner Circle

Fecha de Entrada en Vigencia: 25 de febrero, 2026 El programa denominado “Inner Circle” (en adelante, el “Programa”) es organizado por Roxom Markets S.A. de C.V., una sociedad constituida conforme a las leyes de la República de El Salvador, con domicilio registrado en Cuscatlán 4312, Colonia Escalón, San Salvador, San Salvador Centro, San Salvador, El Salvador, CP 1101 (en adelante, la “Compañía” o el “Organizador”). El Programa está sujeto a los presentes Términos y Condiciones (los “T&C”), así como a los Términos y Condiciones Generales de la Plataforma, disponibles enhttps://docs.roxom.com .

1. Objeto

El Programa Inner Circle es una iniciativa de referidos limitada y únicamente por invitación, puesta a disposición exclusivamente para miembros elegibles del grupo oficial Roxom Telegram VIP. En virtud de este Programa: Un Referente VIP de Telegram elegible podrá invitar hasta tres (3) nuevos usuarios mediante su código de referido único;
Los Usuarios Referidos deberán registrarse, completar la verificación KYC y depositar BTC durante la Ventana de Elegibilidad designada;
En la Fecha de Snapshot, la Compañía calcula el Depósito Elegible Neto (NED) de cada Usuario Referido;
Un cashback condicional en BTC es acreditado sobre la base de dicho NED y permanece congelado durante un período de mantenimiento de doce (12) meses, sujeto a recálculo proporcional. El Programa opera sobre una base de cohorte determinada por la Fecha de Anuncio y no está abierto al público en general. La participación en el Programa no garantiza ninguna recompensa y está estrictamente sujeta al cumplimiento íntegro de estos Términos y Condiciones.

2. Definiciones

1. Depósito Elegible Neto (NED): El monto total de depósitos externos en BTC realizados por un participante durante la Ventana de Elegibilidad, menos cualquier retiro externo de BTC realizado durante el mismo período.

NED = Depósitos Externos en BTC – Retiros Externos en BTC (durante la Ventana de Elegibilidad). Solo los depósitos que se originen fuera de la plataforma Roxom durante la Ventana de Elegibilidad califican. Las transferencias internas, el P&L de trading, las recompensas provenientes de Grow (BTC Earn) y cualquier otro ajuste interno de balance no cuentan para el NED.

2. Fecha de Anuncio: La fecha en la cual la Compañía anuncia formalmente el Programa Inner Circle dentro del grupo oficial Roxom Telegram VIP.
3. Ventana de Elegibilidad: El período de treinta (30) días calendario que comienza en la Fecha de Anuncio.
4. Fecha de Snapshot: El trigésimo (30º) día posterior a la Fecha de Anuncio, a las 00:00 UTC, en el cual la Compañía calcula el Depósito Elegible Neto (NED) de cada Usuario Referido.
5. NED Mínimo: El saldo más bajo de BTC registrado en la cuenta del participante en cualquier momento durante los doce (12) meses posteriores a la Fecha de Snapshot, a efectos del recálculo proporcional del Cashback.
6. Cashback Congelado: La recompensa condicional en BTC calculada bajo este Programa y sujeta a un congelamiento de 12 meses y a recálculo proporcional.
7. Referente VIP de Telegram: Un miembro existente del grupo oficial Roxom Telegram VIP que era miembro activo en la Fecha de Anuncio.
8. Usuario Referido: Un nuevo usuario que se registra exclusivamente mediante el código de referido válido del VIP durante la Ventana de Elegibilidad, completa la verificación KYC y realiza depósitos elegibles en BTC conforme a estos T&C.

3. Roles y Recompensas

​

3.1 Referente (VIP)

Un miembro VIP existente designado por la Compañía podrá referir hasta tres (3) nuevos usuarios. Solo los primeros tres (3) Usuarios Referidos que se registren válidamente utilizando el código de referido del VIP y completen todos los requisitos del Programa durante la Ventana de Elegibilidad serán elegibles para recompensas bajo este Programa. Cualquier referido adicional más allá de los primeros tres (3) no generará ninguna recompensa. Adicionalmente, el Referente VIP de Telegram será elegible para recibir una recompensa equivalente al 2% de su propio Depósito Elegible Neto (NED), calculado durante la Ventana de Elegibilidad. Recompensa de Referido VIP: 0,5% del NED de cada Usuario Referido elegible.
Recompensa Propia del VIP: 2% del NED propio del VIP. Todas las recompensas son acreditadas en BTC en la Fecha de Snapshot, permanecen congeladas durante doce (12) meses y están sujetas a recálculo proporcional en base al NED Mínimo aplicable. A los fines de evitar dudas, los saldos en BTC mantenidos antes de la Fecha de Anuncio no serán incluidos en el cálculo del NED del VIP.

3.2 Usuario Referido

Un nuevo usuario que se registra mediante un enlace de referido válido y completa la verificación KYC. Recompensa: 2% de su propio NED, acreditado en BTC y congelado durante doce (12) meses. El monto final desbloqueado está sujeto a recálculo proporcional basado en su NED Mínimo.

3.3 Limitación de Elegibilidad VIP

Solo las personas que fueran miembros activos del grupo oficial Roxom Telegram VIP exactamente en el momento de la Fecha de Anuncio serán elegibles para participar como Referentes VIP de Telegram. Las personas que se unan al grupo Telegram VIP después de la Fecha de Anuncio no serán elegibles para participar en este Programa. La Compañía conserva discreción exclusiva para determinar la elegibilidad y el estado de membresía.

3.4 Participantes No Elegibles

Empleados, directores, funcionarios, contratistas, proveedores de servicios o asesores de Roxom Markets S.A. de C.V., o de cualquier entidad afiliada del grupo Roxom, no son elegibles para participar en este Programa, ya sea como Referentes VIP de Telegram o como Usuarios Referidos. La Compañía se reserva el derecho de verificar la elegibilidad y de descalificar a cualquier participante que no cumpla con estos requisitos, incluyendo la anulación de cualquier Cashback relacionado.

4. Mecánica de Participación

​

Fase 1 – Ventana de Elegibilidad (Días 0–30 desde la Fecha de Anuncio)

Durante la Ventana de Elegibilidad: a) El Referente VIP de Telegram deberá proporcionar su código de referido único o enlace de referido a posibles usuarios referidos (solo 3 usuarios referidos).
b) El Usuario Referido deberá:
Registrarse exclusivamente utilizando el código de referido válido del VIP;
Completar la verificación KYC; y
Depositar BTC en su Cuenta de Fondeo. Solo los depósitos externos en BTC realizados durante la Ventana de Elegibilidad contarán para el NED. El incumplimiento de completar el registro, KYC o el depósito dentro de la Ventana de Elegibilidad hará que el referido sea inelegible.

Fase 2 – Snapshot y Crédito del Cashback

En la Fecha de Snapshot: a) La Compañía calcula el NED de cada Usuario Referido elegible.
b) El Cashback Congelado se calcula como:
2% del NED para el Usuario Referido;
0,5% del NED para el Referente VIP de Telegram correspondiente. c) El Cashback Congelado es acreditado en BTC y permanece congelado durante doce (12) meses y:
No puede ser retirado;
No puede ser operado;
No puede ser transferido;
No puede ser utilizado dentro de Grow ni de ningún otro producto. El BTC depositado por el usuario permanece completamente disponible y no está bloqueado.

5. Período de Mantenimiento de 12 Meses

Durante los doce (12) meses posteriores a la Fecha de Snapshot: El participante puede libremente operar, activar Grow o retirar BTC (excluyendo el Cashback Congelado).
La Compañía monitorea si el saldo de BTC del participante cae por debajo del NED registrado en la Fecha de Snapshot. Cualquier retiro externo que reduzca el saldo de BTC del participante por debajo del NED del Snapshot reducirá el NED Mínimo registrado.  Los re-depósitos posteriores no incrementan el NED Mínimo registrado.

6. Recálculo Proporcional (Mecanismo de Clawback)

Al finalizar los doce (12) meses, el Cashback será recalculado de la siguiente manera: Cashback Final = (NED Mínimo / NED en el Snapshot) × Cashback Original Escenarios: Si el NED se mantuvo al 100% → se desbloquea el Cashback completo.  Si el NED disminuyó parcialmente → se desbloquea un Cashback proporcional. Si el NED alcanzó cero → no se desbloquea ningún Cashback. Este recálculo proporcional aplica igualmente a: El 2% de Cashback del Usuario Referido;
El 0,5% de Cashback del Referente VIP; y
El 2% de Cashback propio del VIP.

7. Límite de Cashback

El cálculo del Cashback aplica a un máximo de 1,5 BTC de NED por Usuario Referido. Si un usuario deposita más de 1,5 BTC: El BTC excedente permanece completamente utilizable en la plataforma;
Sin embargo, el Cashback se calcula únicamente sobre 1,5 BTC. El límite aplica por Usuario Referido, no por Referente.

8. Interacción con Otros Productos

La participación en Grow (BTC Earn) o en actividades de trading no afecta el NED.
Las ganancias o pérdidas de trading no modifican el NED.
Solo los retiros externos afectan el NED.

​

9. Anti-Abuso y Uso Justo

La Compañía se reserva el derecho, a su exclusiva discreción, de:

1. Descalificar a cualquier participante que incurra en conductas abusivas, manipulativas o fraudulentas;
2. Anular el Cashback si la actividad se considera artificial, coordinada o destinada a eludir el propósito del Programa;
3.  Solicitar información o documentación adicional.

Las auto-referencias, el fondeo circular o los esquemas coordinados están estrictamente prohibidos.

10. Modificación o Terminación

La Compañía se reserva el derecho de:

1. Modificar estos T&C;
2. Suspender o terminar el Programa;
3. Limitar la elegibilidad; en cualquier momento, siempre que los derechos válidamente devengados hasta la Fecha de Snapshot sean respetados de conformidad con estos T&C.

11. Divulgación de Riesgos

Bitcoin es un activo digital volátil. La participación en este Programa no constituye asesoramiento de inversión ni un retorno garantizado. El Cashback es condicional, no garantizado hasta su desbloqueo, y está sujeto al pleno cumplimiento de estos T&C.

12. Ley Aplicable

Cualquier reclamación, controversia o disputa que surja de o en conexión con estos Términos y Condiciones o con el Programa Inner Circle se regirá y resolverá de conformidad con las disposiciones de los Términos y Condiciones Generales de Roxom, que regulan la ley aplicable, la jurisdicción competente y/o el mecanismo de resolución de disputas, incluyendo, cuando corresponda, el arbitraje obligatorio y las correspondientes renuncias. El Usuario declara que ha leído, entendido y aceptado los Términos y Condiciones Generales de Roxom, los cuales forman parte integral y vinculante del marco contractual aplicable al Programa Inner Circle.
