What is STRC?

STRC is a preferred stock issued by Strategy Inc. (formerly MicroStrategy), the company holding over 760,000 Bitcoin. It trades on Nasdaq like a regular stock and is available on Roxom through One-Click Trade. Key characteristics:

Preferred stock basics

A preferred stock sits between bonds and common stock in a company’s capital structure. As a preferred holder, you:
  • Receive regular dividend payments before common shareholders
  • Have priority over common shareholders if the company faces financial difficulties
  • Do not get voting rights or participate in stock price upside

How STRC stays near $100

Unlike most preferred stocks that have a fixed dividend rate, STRC uses an adjustable rate mechanism:
  • If STRC dips below $100, the board raises the dividend rate to attract more buyers
  • If STRC trades above $100, the rate is lowered or new shares are issued to bring the price back down
This mechanism has been tested — during the early 2026 Bitcoin correction (BTC dropped ~50%), STRC dipped briefly to the high $80s before recovering to near par.

Where the dividends come from

Strategy’s common stock (MSTR) trades at a premium to the Bitcoin it holds. Strategy sells new MSTR shares through ATM (at-the-market) programs, and the proceeds fund a USD Reserve used to pay STRC dividends.
  • The USD Reserve holds approximately $2.25 billion (as of early 2026)
  • Total annual preferred dividend obligations exceed $1 billion
  • The reserve covers roughly 2 years of payments without any new capital raises

Dividend calculation

STRC dividends are classified as Return of Capital (ROC), which means they are not subject to the 30% U.S. withholding tax. No deductions are applied:
Eligible shares × Dividend per share ÷ BTC price = BTC credited
For example, with 100 shares (~$10,000 at par) at the current 11.5% annual rate:
  • Annual dividend: ~$1,150
  • Monthly dividend: ~$96
  • Converted to BTC at the Payment Date rate
To receive the next dividend, make sure you hold STRC before the Ex-Dividend Date. You can buy STRC any time the U.S. market is open.
